1. Agreement to Terms

By accessing or using SymplyShare (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

SymplyShare is a social media management platform that allows you to schedule, publish, and manage content across multiple social media platforms.

2. Description of Service

SymplyShare provides:

• Content Scheduling: Schedule posts across multiple social media platforms
• Multi-Platform Publishing: Publish content to YouTube, Facebook, Instagram, Twitter, LinkedIn, and other supported platforms
• Analytics and Insights: Track performance metrics for your social media content
• Account Management: Manage multiple social media accounts from a single dashboard
• Content Library: Store and organize your media files and posts

3. User Accounts

Account Creation

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the security of your account credentials
• You must be at least 13 years old to use the Service
• One person or entity may not maintain more than one account without our permission

Account Responsibility

• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account
• We reserve the right to suspend or terminate accounts that violate these Terms

4. Social Media Account Connections

Authorization

• You grant SymplyShare permission to access your connected social media accounts
• You represent that you have the right to connect and authorize access to these accounts
• You can revoke access to any connected account at any time through your account settings

Third-Party Platforms

• Your use of connected social media platforms is subject to their respective terms of service
• We are not responsible for changes to third-party platform policies or API access
• We may discontinue support for platforms that restrict or remove API access

5. User Content and Conduct

Your Content

• You retain ownership of all content you upload or create through the Service
• You grant SymplyShare a license to use, store, and transmit your content as necessary to provide the Service
• You are solely responsible for the content you post and its compliance with applicable laws

Prohibited Content

You may not use the Service to post content that:

• Violates any applicable laws or regulations
• Infringes on intellectual property rights
• Contains malware, viruses, or harmful code
• Is fraudulent, deceptive, or misleading
• Harasses, threatens, or promotes violence
• Contains adult content involving minors
• Violates the terms of service of connected social media platforms

Content Moderation

• We reserve the right to review and remove content that violates these Terms
• We may suspend or terminate accounts that repeatedly violate our content policies
• We are not obligated to monitor content but may do so at our discretion

6. Payment Terms

Subscription Plans

• The Service may offer free and paid subscription plans
• Subscription fees are billed in advance on a recurring basis
• All fees are non-refundable except as required by law

Payment Processing

• Payments are processed through secure third-party payment processors
• You authorize us to charge your selected payment method for applicable fees
• You are responsible for maintaining valid payment information

Fee Changes

• We may change subscription fees with 30 days’ notice
• Continued use of the Service after fee changes constitutes acceptance of new fees

SymplyShare Property

• The Service, including its design, features, and functionality, is owned by SymplyShare
• You may not copy, modify, distribute, or reverse engineer any part of the Service
• All trademarks, logos, and brand names are the property of their respective owners

User Content License

• You grant SymplyShare a worldwide, royalty-free license to use your content as necessary to provide the Service
• This license ends when you delete your content or terminate your account
• You represent that you have all necessary rights to grant this license

8. Privacy and Data Protection

• Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information
• By using the Service, you consent to the collection and use of information as described in our Privacy Policy

9. Service Availability

Uptime

• We strive to maintain high service availability but do not guarantee 100% uptime
• Scheduled maintenance will be announced in advance when possible
• We are not liable for service interruptions beyond our reasonable control

API Dependencies

• The Service relies on third-party APIs (YouTube, Facebook, etc.)
• Service functionality may be affected by changes to these APIs
• We will make reasonable efforts to maintain compatibility with supported platforms

10. Limitation of Liability

Disclaimer

Liability Limits

• Our total liability for any claims related to the Service is limited to the amount you paid us in the 12 months preceding the claim

11. Indemnification

You agree to indemnify and hold SymplyShare harmless from any claims, damages, or expenses arising from:

12. Termination

• You may terminate your account at any time through your account settings
• Upon termination, your right to use the Service ceases immediately

• Engage in fraudulent or illegal activities

Effect of Termination

13. Dispute Resolution

• Any legal action must be brought in the courts of Pennsylyvania, United States

Arbitration

• Disputes may be resolved through binding arbitration rather than court proceedings
• You waive your right to participate in class action lawsuits

14. General Provisions

Changes to Terms

• Continued use after changes constitutes acceptance of updated Terms

Severability

• If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect

Entire Agreement

• These Terms, together with our Privacy Policy, constitute the entire agreement between you and SymplyShare
